Executive Committee Statement of Purpose, 
Role and Scope

 
Purpose
The Executive Committee serves as a surrogate for the full Executive Board and is empowered to act in place of the Board on matters that cannot be deferred until the Board’s next scheduled meeting.  The Executive Committee also acts in an advisory capacity, assisting the Director when needed.

Role
The Executive Committee has regular contact with the Director to decide if and when the Executive Committee must meet or make decisions.  The members of the Executive Committee, through regular contact with the Director, will also provide assistance on Institute matters when appropriate.  The Executive Committee shall report to the next scheduled Executive Board meeting on all official actions taken by it since the last Board meeting.

The Chair of the Executive Committee shall be the Chairperson of the Executive Board.  The Chair will determine the structure, timing and frequency of meetings as needed to meet its purpose.

Scope
The Executive Committee may act on all matters normally acted on by the Executive Board except the following:  officer election, Board member elections, adjustments to membership fees, and changes to the Charter.  The Executive Committee does not provide day-to-day management direction for the Institute; however, the Committee shall assist the Director with management decisions upon request
